These Terms and Conditions govern your access to and use of daubix.com and the public content, forms, scheduling links, communications, and related resources made available by DAUBIX AI LLC.

In these Terms, “DAUBIX AI,” “we,” “us,” and “our” refer to DAUBIX AI LLC. “You” refers to the person accessing the website and, when that person acts for a company or other organization, to that organization.

By accessing or using the website, submitting information, or using a public resource made available through it, you agree to these Terms. If you do not agree, do not use the website.

A paid consulting, implementation, support, or other client engagement is governed by the proposal, statement of work, service agreement, confidentiality agreement, data-processing terms, or other written contract accepted for that engagement. If a signed client agreement conflicts with these Terms, the signed client agreement controls for the subject of that engagement.

Authority and Eligibility

The website is intended for adults and business users.

By using the website for an organization, you represent that you have authority to act for that organization and to provide the information you submit. You must be at least eighteen years old or the age of legal majority where you live.

You may not use the website if doing so would violate a law, contractual restriction, sanctions rule, court order, or another obligation that applies to you.

Purpose of the Website

The website explains DAUBIX AI’s services, approach, projects, pricing framework, operating philosophy, and educational views concerning AI automation, integration, agents, workflows, and business systems.

Website content is provided for general information and commercial evaluation. It is not a substitute for an audit of your business, and it is not legal, accounting, tax, employment, financial, medical, cybersecurity, or regulatory advice.

Viewing the website, reading an article, submitting a form, or scheduling an introductory call does not by itself create a client relationship, fiduciary duty, partnership, joint venture, employment relationship, or obligation to accept an engagement.

DAUBIX AI may decline an inquiry or proposed engagement at its discretion.

Services and Separate Agreements

DAUBIX AI designs and implements AI systems around the way a business operates. Services may include workflow auditing, operational mapping, automation architecture, platform integration, AI-agent implementation, data structuring, testing, deployment, documentation, monitoring, optimization, consulting, or related work.

The exact services, deliverables, assumptions, exclusions, responsibilities, schedule, acceptance criteria, price, payment terms, ownership, support, security, and data-handling conditions for a project are defined in the applicable written agreement.

Website descriptions are summaries. They do not create a promise that a particular feature, platform, timeline, price, result, or level of support will apply to your project.

Discovery, Audits, Proposals, and Estimates

A discovery conversation, preliminary audit, website statement, example, estimate, or proposal is based on the information available at the time it is prepared.

A project may require additional investigation before the scope can be confirmed. Missing access, undocumented processes, inconsistent data, platform restrictions, third-party costs, security requirements, regulatory obligations, or changes requested by the client can affect feasibility, schedule, architecture, and price.

A proposal becomes binding only when accepted in the manner stated in the proposal or another written agreement.

Unless the agreement states otherwise, an estimate is not a guarantee of time saved, revenue earned, cost reduced, conversion improved, or another business outcome.

Your Responsibilities

You are responsible for providing accurate, current, and complete information.

You are also responsible for giving timely access, decisions, approvals, feedback, and cooperation reasonably required for an engagement. Delays, incomplete information, changing requirements, unavailable personnel, or restricted systems may affect delivery.

You must designate people who are authorized to make decisions for the organization. DAUBIX AI is entitled to rely on instructions and approvals provided by those authorized contacts unless we are told in writing that their authority has changed.

You remain responsible for your business decisions, legal obligations, customer relationships, employment practices, records, policies, and use of any system delivered to you.

Authority to Provide Data and Access

You may provide DAUBIX AI only with information, credentials, systems, content, and instructions that you have the legal and contractual authority to provide.

You are responsible for giving required notices, obtaining required consents, honoring applicable privacy rights, and determining whether your proposed use of data is lawful.

You may not instruct DAUBIX AI to collect, access, scrape, enrich, contact, profile, classify, or otherwise process information in a way that violates privacy, communications, intellectual-property, consumer-protection, employment, anti-discrimination, platform, or other applicable law.

You must not provide regulated or highly sensitive information through a public inquiry form. Social Security numbers, social insurance numbers, government identification numbers, complete financial-account details, medical records, passwords, private keys, production secrets, and access tokens should be transferred only through an approved method and only when the engagement expressly requires them.

DAUBIX AI may refuse, suspend, restrict, or redesign a requested workflow when we reasonably believe the instruction, data source, access method, or intended use creates an unacceptable legal, security, ethical, or operational risk.

AI Systems and Probabilistic Output

AI systems generate output through probabilistic processes. Output can be incomplete, inaccurate, inconsistent, outdated, biased, or unsuitable for a particular decision.

No AI-generated response, classification, extraction, prediction, recommendation, summary, or action should be treated as infallible.

A production workflow should assign human review according to the uncertainty and consequence of the task. You are responsible for maintaining the review, approval, oversight, and operational controls assigned to your organization in the agreed design.

Unless a written agreement expressly states otherwise, DAUBIX AI does not warrant that an AI model will produce a particular response for every input, that a third-party model will remain unchanged, or that an external platform will continue offering the same feature, price, model, application programming interface, or service level.

You may not use an AI system delivered or recommended by DAUBIX AI for a prohibited or unlawful purpose. You are responsible for evaluating whether additional professional, legal, regulatory, or subject-matter review is required before using output in a consequential setting.

No Guaranteed Business Outcome

DAUBIX AI aims to design systems that reduce friction, improve visibility, strengthen execution, and create measurable capacity.

The result still depends on the client’s process, data, people, offer, market, management, adoption, volume, platform environment, and continued operation of third-party services.

Case studies, testimonials, proof numbers, calculations, projected savings, examples, and prior results describe specific circumstances. They do not guarantee that another business will receive the same result.

Any published or proposed estimate should be read according to its stated evidence and assumptions. A verified technical improvement is not automatically proof of a financial outcome. An estimated saving is not the same as directly measured labour reduction.

Acceptable Use of the Website

You may use the website for lawful evaluation of DAUBIX AI, ordinary navigation, personal reference, and legitimate business communication.

You may not interfere with the website, attempt unauthorized access, bypass security measures, probe vulnerabilities without written authorization, introduce malicious code, overload infrastructure, impersonate another person, submit false information, or use the website to facilitate fraud, abuse, harassment, or unlawful activity.

You may not copy, scrape, systematically extract, republish, sell, license, frame, mirror, reverse engineer, or create a competing dataset from the website or its content without written permission, except to the extent that applicable law expressly permits the activity.

You may not use DAUBIX AI’s articles, frameworks, case studies, original graphics, prompts, systems descriptions, code, or other protected material to train, evaluate, or improve a competing commercial model, service, content library, or automation product without written authorization.

You may use ordinary search-engine indexing and link to public pages in a manner that is accurate, lawful, and does not imply sponsorship.

Information and Materials You Submit

You retain ownership of information and materials you submit.

You grant DAUBIX AI a limited right to receive, store, reproduce, review, and use those materials as reasonably necessary to respond to you, evaluate an engagement, provide requested services, protect the parties, maintain records, and comply with law.

You represent that your submission is accurate to the best of your knowledge, that you are authorized to provide it, and that our permitted handling of it will not violate another person’s rights.

Do not submit material that is unlawful, defamatory, threatening, infringing, fraudulent, malicious, or designed to compromise a system.

DAUBIX AI is not required to preserve an unaccepted proposal request, public-form submission, or other material indefinitely.

Confidential Information

Information submitted through a public website form is handled according to the Privacy Policy, but the public form is not a substitute for a confidentiality agreement or secure project channel.

Do not assume that an unsolicited idea, method, pitch, concept, or business plan submitted before a confidentiality agreement will be treated as exclusive or confidential.

Confidentiality obligations for a client engagement are governed by the applicable written agreement. DAUBIX AI will not publish a client’s name, logo, testimonial, project details, or confidential result as a case study without the permission required by the applicable agreement or a separate authorization.

Intellectual Property

The website and its original content are owned by DAUBIX AI LLC or used under license. This includes the DAUBIX AI name and marks, text, articles, page copy, graphics, visual identity, case-study presentation, frameworks, designs, code, video, audio, downloadable materials, and other protected elements.

Nothing in these Terms transfers ownership of DAUBIX AI intellectual property to you.

A client’s ownership or license rights in custom deliverables are determined by the applicable written agreement and may depend on full payment. DAUBIX AI may retain ownership of pre-existing tools, reusable components, libraries, methodologies, know-how, templates, general techniques, and materials that were not created exclusively for the client, unless a written agreement expressly states otherwise.

Third-party software, open-source components, models, platforms, fonts, content, and integrations remain subject to their respective licenses and terms.

Feedback

If you voluntarily provide feedback, suggestions, or ideas about the website or services, DAUBIX AI may use that feedback without restriction or compensation, provided that we do not disclose your confidential information in doing so.

This clause does not transfer ownership of your client data, trade secrets, or materials governed by a separate written agreement.

Third-Party Platforms and Links

The website may link to or rely on third-party services, including scheduling, form, payment, social, video, community, hosting, font, content-delivery, automation, AI-model, and business-software providers.

DAUBIX AI does not control third-party services and is not responsible for their content, security, availability, pricing, data practices, errors, policy changes, or continued compatibility.

Your use of a third-party service is governed by the terms and privacy policy of that provider. You are responsible for maintaining the licenses, accounts, permissions, subscriptions, and usage limits assigned to you under a client agreement.

A third-party integration can fail because the provider changes an interface, revokes access, modifies a model, imposes a limit, experiences an outage, or discontinues a feature. DAUBIX AI is not responsible for the independent conduct of that provider.

Fees, Payments, and Taxes

Website access is generally provided without charge.

Fees for audits, consulting, implementation, support, optimization, or another paid service are stated in the applicable proposal or agreement.

You are responsible for paying approved invoices according to their terms and for applicable taxes, duties, platform fees, usage fees, subscriptions, and third-party costs assigned to you.

DAUBIX AI may pause work, restrict support, withhold delivery, or suspend a service when an undisputed payment is overdue, subject to the applicable agreement and law.

Refunds, deposits, cancellations, chargebacks, expenses, late fees, and termination payments are governed by the written agreement for the engagement.

Privacy

Our Privacy Policy explains how DAUBIX AI handles personal information and is incorporated into these Terms for use of the website.

A client engagement may include additional privacy, confidentiality, security, or data-processing terms.

If you do not agree with the website’s data practices, do not submit information through it.

Electronic Communications

When you submit a form, schedule a meeting, subscribe, or communicate electronically, you consent to receive responsive communications in electronic form.

Electronic records, notices, approvals, and signatures may satisfy a writing requirement to the extent permitted by applicable law and the relevant agreement.

Marketing communications remain subject to applicable consent and unsubscribe requirements. You may withdraw from marketing without preventing transaction, project, security, or legal communications that remain necessary.

Website Availability and Changes

DAUBIX AI may modify, correct, suspend, restrict, or discontinue any part of the website at any time.

We do not guarantee that the website will always be available, error-free, secure, complete, or compatible with every device or browser.

Content may become outdated. DAUBIX AI may correct a statement, metric, price range, article, or case-study description when new evidence or a changed business practice requires it.

Disclaimer of Warranties

To the maximum extent permitted by law, the website and all public content and free resources are provided “as is” and “as available.”

DAUBIX AI disclaims warranties that are not expressly stated in a signed agreement, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted operation.

Nothing in these Terms excludes a warranty or right that applicable law does not allow the parties to exclude.

Limitation of Liability

To the maximum extent permitted by law, DAUBIX AI LLC and its members, managers, officers, employees, contractors, agents, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the website or public content.

This exclusion includes lost profit, lost revenue, lost opportunity, loss of goodwill, data loss, business interruption, replacement cost, or damage arising from reliance on website information or a third-party service.

For a claim arising solely from use of the public website or a free resource, DAUBIX AI’s aggregate liability will not exceed one hundred United States dollars.

Liability arising from a paid client engagement is governed by the applicable signed agreement. If that agreement contains a different limitation, the signed agreement controls.

These limitations do not apply to liability that cannot lawfully be limited or excluded.

Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless DAUBIX AI LLC and its members, managers, officers, employees, contractors, and agents from third-party claims, losses, liabilities, damages, judgments, penalties, and reasonable costs arising from your unlawful use of the website, your violation of these Terms, information or instructions you were not authorized to provide, or your infringement of another person’s rights.

This obligation does not require you to indemnify DAUBIX AI for conduct for which indemnification is prohibited by law.

Indemnification relating to a paid engagement is governed by the applicable signed agreement.

Suspension and Termination

DAUBIX AI may block, restrict, or terminate access to the website if we reasonably believe you have violated these Terms, created a security risk, misused content, submitted unlawful material, or interfered with the operation of the website.

Termination of a client engagement is governed by the applicable written agreement.

Provisions that by their nature should continue after termination will survive. These may include intellectual property, confidentiality, payment, disclaimers, limitation of liability, indemnification, governing law, and dispute provisions.

Events Beyond Reasonable Control

DAUBIX AI is not responsible for delay or failure caused by events beyond our reasonable control.

These events may include natural disasters, fire, flood, war, terrorism, civil disturbance, labor disruption, government action, utility failure, Internet or telecommunications failure, cyberattack, platform outage, third-party service change, model withdrawal, application programming interface change, supply interruption, or another event that could not reasonably be prevented.

This section does not excuse a payment obligation already due.

Governing Law and Venue

These Terms are governed by the laws of the State of Delaware and applicable federal law, without regard to conflict-of-law rules.

Unless a signed service agreement provides a different dispute process, any dispute arising solely from these Terms or the website must be brought in a state or federal court of competent jurisdiction located in Delaware. You consent to personal jurisdiction and venue in those courts.

Nothing in this section prevents either party from seeking urgent injunctive relief where legally available.

Changes to These Terms

DAUBIX AI may update these Terms to reflect changes in the website, services, business practices, technology, or law.

The revised Terms will be posted with a new “Last updated” date. Continued use of the website after the revised Terms take effect constitutes acceptance of the revised Terms.

A material change to a signed client engagement requires the process stated in that agreement and is not created merely by updating this website page.

Severability, Waiver, and Assignment

If a provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to the fullest extent permitted by law. The invalid provision will be interpreted or replaced as closely as possible to its lawful purpose.

A failure to enforce a provision is not a waiver of the right to enforce it later.

You may not assign your rights or obligations under these Terms without DAUBIX AI’s written consent. DAUBIX AI may assign these Terms in connection with a merger, financing, reorganization, sale of assets, or transfer of the website or business.

Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement concerning your use of the public website and supersede prior statements on that subject.

They do not replace a signed proposal, statement of work, service agreement, confidentiality agreement, data-processing agreement, or other contract governing a paid engagement.
